1. Acceptance of Terms

Welcome to Carty Jo Pro. These Terms and Conditions (“Terms”) govern your access to and use of the Carty Jo Pro website, mobile applications, and related services (collectively, the “Platform”), operated by Sami Karadsheh and Partners Company LLC (“Company”, “Carty Jo Pro”, “we”, “our”, or “us”).

By accessing, registering, browsing, placing orders, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.

2. Eligibility

You must be at least eighteen (18) years old or the legal age of majority in your jurisdiction to create an account and use the Platform.

By using the Platform, you represent and warrant that:

The Platform acts solely as an intermediary technology provider facilitating transactions and communications between users and merchants.

Unless expressly stated otherwise, Carty Jo Pro does not manufacture, own, store, inspect, or guarantee any products or services offered by third-party merchants.

5. Orders

By placing an order through the Platform:

  • You agree to purchase the selected products or services.
  • Orders are subject to merchant acceptance and availability.
  • Product descriptions, images, and pricing are provided by merchants and may contain inaccuracies.
  • We reserve the right to refuse, limit, or cancel orders at our sole discretion.

An order confirmation does not guarantee availability of products.

6. Pricing and Payments

Prices displayed on the Platform are shown in the applicable local currency.

You agree to pay:

  • Product price
  • Delivery fees
  • Service fees
  • Applicable taxes
  • Any additional charges disclosed before checkout

Payments may be processed through third-party payment providers.

Carty Jo Pro does not store complete payment card details.

7. Delivery

Estimated delivery times are provided for convenience only and are not guaranteed.

Delivery may be affected by:

  • Weather conditions
  • Traffic
  • Merchant preparation delays
  • Force majeure events
  • Technical issues

Users are responsible for providing accurate delivery information.

Failure to receive an order due to incorrect address or unavailability may result in cancellation without refund.

8. Cancellations

Users may cancel orders before merchants begin preparation or fulfillment.

Once preparation, packaging, or dispatch has commenced, cancellation requests may be denied.

Carty Jo Pro reserves the right to cancel orders in cases including:

  • Suspected fraud
  • Payment failure
  • Product unavailability
  • Operational limitations
  • Violations of these Terms

9. Refunds and Returns

Refunds may be issued where applicable under local law, including situations involving:

  • Incorrect items
  • Missing items
  • Damaged products
  • Defective products
  • Failed deliveries attributable to merchants or delivery partners

Refunds may be issued through:

  • Original payment method
  • Store credit
  • Wallet balance

Refund processing times may vary depending on payment providers and financial institutions.

10. User Conduct

Users shall not:

  • Violate applicable laws.
  • Submit false or misleading information.
  • Harass merchants, drivers, support agents, or other users.
  • Upload malicious software.
  • Attempt unauthorized access to the Platform.
  • Use the Platform for fraudulent purposes.

Violations may result in suspension, termination, legal action, or referral to law enforcement authorities.

11. Reviews and User Content

Users may submit reviews, ratings, comments, and other content.

By submitting content, you grant Carty Jo Pro a worldwide, perpetual, royalty-free license to use, display, reproduce, modify, and distribute such content in connection with operation of the Platform.

We reserve the right to remove content that:

  • Is unlawful
  • Is offensive or defamatory
  • Violates intellectual property rights
  • Contains false information

12. Intellectual Property

All trademarks, logos, graphics, software, designs, databases, content, and materials available on the Platform are owned by Sami Karadsheh and Partners Company LLC or its licensors.

No content may be copied, reproduced, distributed, or modified without prior written consent.

13. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided on an “as is” and “as available” basis.
  • We make no warranties regarding uninterrupted or error-free operation.
  • We shall not be liable for indirect, incidental, consequential, punitive, or special damages.

Our total liability shall not exceed the amount paid by the user for the relevant transaction.

14. Indemnification

You agree to indemnify and hold harmless Sami Karadsheh and Partners Company LLC, its directors, officers, employees, affiliates, contractors, and partners from any claims, damages, liabilities, losses, or expenses arising from your violation of these Terms or misuse of the Platform.

15. Suspension and Termination

We may suspend, restrict, or terminate access to the Platform at any time if:

  • You violate these Terms.
  • Fraudulent activity is detected.
  • Required by law.
  • Necessary to protect the Platform or other users.

16. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, store, and protect personal information.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Hashemite Kingdom of Jordan.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Jordan.

18. Changes to Terms

We reserve the right to update or modify these Terms at any time.

Updated versions will become effective immediately upon publication on the Platform unless otherwise stated.

Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

CARTY JO PRO MERCHANT AGREEMENT

1. Agreement Overview

This Merchant Agreement (“Agreement”) governs the relationship between Sami Karadsheh and Partners Company LLC, operating the Carty Jo Pro platform (“Carty Jo Pro”, “Platform”, “Company”, “we”, “our”), and the merchant, vendor, restaurant, retailer, supplier, service provider, or business entity registering on the Platform (“Merchant”, “Vendor”, “you”, “your”).

By registering as a Merchant on Carty Jo Pro, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.

2. Merchant Eligibility

To register as a Merchant, you must:

  • Be legally established and authorized to conduct business.
  • Possess all required licenses, permits, registrations, and approvals.
  • Maintain valid tax registration where required by law.
  • Provide accurate and complete business information.

Carty Jo Pro reserves the right to reject or terminate any Merchant application without providing a reason.

3. Services Provided by Carty Jo Pro

Carty Jo Pro provides an online marketplace platform that enables Merchants to:

  • Display products and services.
  • Receive customer orders.
  • Manage inventory.
  • Communicate with customers through Platform features.
  • Receive payments and settlements.
  • Access reporting and analytics.

Carty Jo Pro acts solely as a technology and marketplace facilitator.

4. Merchant Responsibilities

The Merchant agrees to:

  • Maintain accurate product listings.
  • Update pricing promptly.
  • Maintain sufficient stock levels.
  • Process orders promptly.
  • Comply with all applicable laws and regulations.
  • Deliver products matching descriptions and images.
  • Maintain required insurance and licenses.

The Merchant is solely responsible for product quality, safety, legality, warranties, and customer satisfaction.

5. Product Listings

Merchants shall ensure that:

  • Product descriptions are accurate.
  • Product images accurately represent products.
  • Prices are correct.
  • Inventory levels are updated.
  • Product categories are correctly assigned.

Carty Jo Pro may remove any listing that:

  • Violates laws.
  • Infringes intellectual property rights.
  • Contains misleading information.
  • Violates Platform policies.

6. Prohibited Products

Merchants may not sell:

  • Illegal products.
  • Counterfeit goods.
  • Stolen goods.
  • Narcotics or controlled substances.
  • Weapons or ammunition.
  • Hazardous materials.
  • Adult content prohibited by law.
  • Any item prohibited by Jordanian law or applicable regulations.

Carty Jo Pro may immediately suspend any Merchant found offering prohibited products.

7. Order Fulfillment

The Merchant agrees to:

  • Accept or reject orders promptly.
  • Prepare products according to customer specifications.
  • Package products appropriately.
  • Meet preparation and dispatch times.

Repeated delays may result in penalties or account suspension.

8. Pricing and Commissions

The Merchant acknowledges that:

  • Product prices are determined by the Merchant.
  • Carty Jo Pro may charge commissions, subscription fees, service fees, advertising fees, or promotional fees.
  • Applicable fees will be communicated separately through the Merchant Dashboard or commercial agreement.

The Company reserves the right to amend fees upon prior notice.

9. Payments and Settlements

Payments collected through the Platform shall be settled according to the agreed settlement schedule.

Settlement statements may include:

  • Gross sales.
  • Platform commissions.
  • Delivery charges.
  • Refunds.
  • Adjustments.
  • Taxes.

Carty Jo Pro reserves the right to withhold payments where fraud, disputes, or legal investigations exist.

10. Refunds and Customer Claims

Merchants shall cooperate fully in resolving:

  • Missing items.
  • Wrong items.
  • Damaged products.
  • Defective products.
  • Customer complaints.

Where the Merchant is responsible, Carty Jo Pro may issue refunds on behalf of the Merchant and deduct corresponding amounts from future settlements.

11. Ratings and Reviews

Customers may rate and review Merchants.

Carty Jo Pro reserves the right to:

  • Display ratings publicly.
  • Remove inappropriate reviews.
  • Suspend Merchants with consistently poor performance.

12. Intellectual Property

The Merchant grants Carty Jo Pro a non-exclusive worldwide license to:

  • Display logos.
  • Display trademarks.
  • Display product images.
  • Use promotional content.

This license remains effective throughout the Merchant’s participation on the Platform.

13. Marketing and Promotions

The Merchant authorizes Carty Jo Pro to:

  • Promote products.
  • Feature listings.
  • Offer discounts.
  • Create advertising campaigns.

Participation in certain promotions may require additional discounts or fees as agreed.

14. Compliance with Laws

The Merchant shall comply with:

  • Consumer protection laws.
  • Tax laws.
  • Health regulations.
  • Product safety regulations.
  • E-commerce regulations.
  • Data protection laws.

The Merchant shall indemnify Carty Jo Pro against any penalties arising from non-compliance.

15. Data Protection

The Merchant shall:

  • Protect customer information.
  • Use customer data only for order fulfillment.
  • Not sell or share customer data.
  • Comply with applicable privacy laws.

Unauthorized use of customer data may result in immediate termination.

16. Limitation of Liability

Carty Jo Pro shall not be liable for:

  • Loss of profits.
  • Business interruption.
  • Indirect damages.
  • Customer disputes.
  • Product defects.
  • Regulatory violations committed by Merchants.

The Merchant accepts full responsibility for all products and services offered through the Platform.

17. Indemnification

The Merchant agrees to indemnify and hold harmless Sami Karadsheh and Partners Company LLC from all claims, losses, damages, penalties, costs, and legal expenses arising from:

  • Product defects.
  • Regulatory violations.
  • Intellectual property infringement.
  • Customer claims.
  • Breach of this Agreement.

18. Suspension and Termination

Carty Jo Pro may suspend or terminate Merchant accounts for:

  • Fraudulent activity.
  • Repeated customer complaints.
  • Sale of prohibited products.
  • Violation of Platform policies.
  • Non-payment of fees.
  • Legal or regulatory concerns.

Termination does not relieve the Merchant from outstanding obligations.

19. Confidentiality

The Merchant shall keep confidential:

  • Platform technology.
  • Business processes.
  • Pricing arrangements.
  • Customer information.
  • Internal reports and analytics.

Confidentiality obligations survive termination.

20. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the Hashemite Kingdom of Jordan.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Jordan.
